The following individuals form the Board of Queensland Airports Limited:

Annabelle Chaplain  (Independent Chairman)

BA, MBA, FAICD, Non-Executive Chairman appointed 1 January 2014.

Annabelle is an experienced company director with in-depth experience in financial services, infrastructure and mining-related companies. Her executive career was spent as an investment banker, working on a variety of transactions for public sector and large corporate clients. Annabelle is a non-executive director of ASX-listed Downer-edi Ltd and of Seven Group Holdings Limited. Annabelle is also Chairman of Canstar Pty Ltd, a financial services research and ratings company, a director of Credible Labs Inc and The Australian Ballet. Her former Board roles include being a member of the Federal Government’s Board of Taxation and a director of EFIC, Australia’s export credit agency. A Fellow of the Australian Institute of Company Directors, Annabelle holds a Bachelor of Arts degree majoring in Economics and Mandarin from Griffith University in addition to a Master of Business Administration (MBA) from the University of Melbourne. She holds an honorary doctorate from Griffith University for her service to banking and finance, and to the Gold Coast community.

Ashley Kilroy

FAICD, Non-Executive Director appointed 26 October 2012.

Ashley is a former airline executive with more than 40 years’ aviation management experience with TAA/Australian Airlines and Qantas. Ashley’s experience includes senior executive roles in commercial, airport management and regional airlines. Ashley is Chairman of Aviation Australia Pty Limited  and a non-executive director of Mildura Airport Pty Limited. He was formerly a non-executive director of Newcastle Airport Pty Limited.

Robert James Lette

FASFA, MAIST, GAICD, Non-Executive Director appointed 24 January 2005.

Chairman of the Risk and Audit Committee.

Robert is a consultant to and former partner of the Queensland law firm Mullins Lawyers, and was admitted to the Supreme Court of Queensland in 1966. Robert is currently a director of North Queensland Airports Group. He was a director of BUSS(Q) Building Super, Gardior Pty Ltd and The Infrastructure Fund.

Alan Mulgrew

BA (Mgnt), Dip Corp Fin, GRAICD, JP, Non-Executive Director appointed 25 March 2013.

Chairman of the Aeronautical and Related Infrastructure Committee.

Alan has over 30 years’ experience as a senior executive heading up large capital intensive organisations, both in Australia and overseas – including Perth and Sydney airports. In 1997 Alan established a corporate advisory company providing strategic advice to numerous major institutions; primarily in the development and implementation of major infrastructure projects. Alan holds chairman and director roles on a number of high profile boards spanning transportation, energy, infrastructure and government. He is a non-executive director of Adelaide Airport Ltd, Tesla Corporation and CBH Group. He is Chairman of Western Power, Western Carbon, Australian Renewable Fuels Pty Ltd and Tourism Western Australia. Alan was previously a non-executive director of Doric Holdings Pty Ltd, BAC Holdco and Atlantic Ltd, and Tesla Corporation (WA).

Nigel Chamier

AM, FRICS, FAICD, FAPI, Non-Executive Director appointed 1 April 2014.

Chairman of the Property Development Committee

Executive Chairman, NAC Investments Pty Ltd.

Nigel has 46 years’ experience in property and infrastructure and provides high level guidance to the private and public sectors. Nigel is a director of South Bank Corporation and previously chaired the Gold Coast 2018 Commonwealth Games Corporation and the Commonwealth Games Infrastructure Authority. In recent years he has also chaired the restoration committee for Brisbane City Hall and currently chairs the Anzac Square restoration committee. Nigel is The Honorary Consul for Sweden. In January 2016 he was awarded a Member of the Order of Australia for services to economic development and the preservation of historic buildings, and in September 2016 was made a Commander of the Royal Order of The Polar Star for services to Sweden. A former president of the Brisbane Club and chair of the Queensland division of the Property Council of Australia, Nigel now sits on the Griffith University Business Advisory Board and chairs the Menzies Health Institute of Queensland. He currently chairs the Anzac Square Restoration Committee for the Lord Mayor of Brisbane.

Steven Fitzgerald

BEcon, Non-Executive Director appointed 23 March 2018.

Steven is Head of Asset Management at Morrison & Co. Prior to this, he was CEO of Wellington International Airport and previously ran Infratil’s European Airports from 2005. Steven has also worked for Sydney Airport, where he held a number of senior roles which included General Manager Airport Operations, Head of Commercial Trading and Manager Economics. He is Chair of Perth Energy, and a director of Transgrid and Perth Airport.

Amanda McMillan OBE

BAcc, CA, Non-Executive Director appointed 24 August 2018.

Amanda is an experienced airport executive and chartered accountant, and has held the position of Chair of Hobart International Airport since April 2018. Amanda is the former Chief Executive Officer of AGS Airports Limited, one of the United Kingdom’s leading airport groups and operator of Aberdeen, Glasgow and Southampton airports. She was awarded an OBE by her Majesty the Queen for her services to business and tourism in 2013 and holds honorary doctorates from both the University of Glasgow and Glasgow Caledonian University.

Corporate governance

The Board of Directors of Queensland Airports Limited (QAL) is responsible for Corporate Governance across the business.

QAL has achieved continued convergence and integration of its governance, risk and compliance functions. Consultation between the Board and Executive in relation to these areas has resulted in an increased focus and level of responsibility within each business unit. We are committed to the continuous improvement and development of governance processes to ensure they are embedded throughout the QAL group.

QAL believes the implementation of appropriate and relevant corporate governance practices will enhance the performance of the company and allow for stronger relationships with our shareholders, customers, the local community and other relevant stakeholders.
